Introduction

Welcome to AllDrive ("AllDrive", "we" or "us")! AllDrive offers products and services that save you time managing cloud-based file backups across multiple accounts. AllDrive products and related services are legally owned and operated by iMyFone.

Legal Agreement

Before you start using this product and service, please read carefully all the terms and conditions listed in this agreement (minors under the age of 18 should be accompanied by their legal guardian), with emphasis on our waiver in bold or limit AllDrive's liability, agreed dispute resolution and jurisdiction, separate agreements or business rules, etc. If you have any questions about the terms of this agreement, please contact us, and we will explain the terms to you. Account User Information

To use the AllDrive service, you must provide your email address. You agree that your email address will always be accurate and up to date.

If you are a child under the age of 13, please provide your legal guardian's email address so we can obtain consent. If you cannot provide it, please discontinue use of any AllDrive service or product immediately.

Privacy Policy

You consent to our collection and use of your email address and other information following our Privacy Policy. The privacy policy of this product and service is detailed in the "User Privacy Policy". You agree to carefully read and fully understand and accept the Privacy Policy, and agree that the Privacy Policy is an integral part of this Agreement.

About your Content in the Service

When you use this product and related services, you involve information, including data, text, photos, graphics, videos, messages, labels or other materials ("Content"), from many people and entities. All such content will be the sole responsibility of the individual or entity providing the information. This means that you are liable for all content that is emailed, transmitted or otherwise made available in the course of your use of the Service (including third-party service integrations enabled through the Service) and the consequences of your actions (including the possibility that AllDrive may suffer) take full responsibility. Note that this is handled differently than Feedback described in Section 6.

AllDrive does not claim ownership of such content nor store it in any form, and you agree that AllDrive may access your information, project data, files and folders used to provide services. AllDrive will never use data for anything other than what is required to provide the service.

If you no longer want your content to appear on the service, go to the applicable third-party service that provides the content and change the privacy settings to block publicly accessible content or remove it entirely. However, you need to agree and understand that AllDrive shall not (and has no obligation to make you) restrict any other person (including other users) from using your content, and that AllDrive has no control over the third-party services you authorize or enable to provide you with content.

Feedback on AllDrive

By privately submitting feedback, ideas, ratings, comments or suggestions to AllDrive through Customer Service ("Feedback"), you acknowledge and agree to:
(A) Your feedback will automatically become the property of AllDrive, and AllDrive will not undertake any obligation to you;
(B) Your Feedback does not contain your or any third party's confidential or proprietary information;
(C) AllDrive may use or disclose such Feedback in any manner and any media worldwide for any lawful purpose;
(D) AllDrive may have some feedback similar to those already under consideration or development;
(E) You are not entitled to any compensation from AllDrive.

Software Improvement Plan

AllDrive is committed to helping protect your privacy at all times, except as otherwise provided in this Agreement. This statement explains the anonymous data collection process and usage practices of the AllDrive Software Improvement Program.

In order to provide and improve the software and its functions and user experience, we will automatically collect and maintain process and usage information related to the use of various modules and functions of the AllDrive software. We also collect information anonymously for the purpose of statistical analysis of software usage.

We will only use this information for the purpose of providing the best software experience for end users. The data collected will not be disclosed, shared, sold, traded or rented to any third party for marketing purposes.

Code of Conduct

In order to ensure that every user has a good experience when using AllDrive products, AllDrive needs to limit the abusive behavior that interferes with our service, and requires all users to abide by the following code of conduct to help us achieve this goal. AllDrive may review content for violations of these policies and take appropriate action in compliance with the requirements of the Privacy Shield. Audit results include restricting access to content, removing content, restricting or prohibiting your continued use of AllDrive products.

You agree not to use the service for the following purposes:
(A) harm a minor in any way;
(B) impersonate any person or entity, or misrepresent your relationship with that person or entity;
(C) engage in any unsolicited or unauthorized advertising, "spam" or "chain letters" or any other form of solicitation;
(D) otherwise stalk or harass another person;
(E) transmit or make available any material that contains software viruses or computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software, hardware or telecommunications equipment;
(F) interfere with or disrupt the Services or servers or networks connected to the Services;
(G) knowingly or unintentionally violates any applicable local, state, national or international law;

You agree not to upload, post, transmit or make available any of the following:
(A) unlawful, harmful, threatening, abusive, harassing, infringing, defamatory, obscene, libelous, invasive of another’s privacy, hateful or racial, ethnic or otherwise offensive;
(B) The right to provide information (such as inside information, proprietary and confidential information protected by non-disclosure agreements) without any legal or contractual or trust relationship infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party We have the right to.
(c) Other content that violates local laws or the laws of the country or region where the AllDrive service is located.

You will not be able to access this service if:
(A) by any means other than by providing an interface;
(B) by any automated means (including the use of robots, scripts or web scraping tools). You may not rewrite or circumvent any security components or violate any rules of use related to the protection of material or technology in the Service.

Ownership

All right, title and interest in and to the Services (including any AllDrive content or materials provided through the Services, the look, design, service marks, trademarks and service names of the Services) are the property of AllDrive and its affiliates, licensors or users and are subject to the Copyright, patent, trademark or other proprietary and legal protection. You may not use, copy, modify, create derivative works from, reverse engineer, sell, assign, sublicense or otherwise transfer any rights in any part of the Product without the prior written consent of the Service Owner.

Unless otherwise agreed in another agreement between AllDrive and you, AllDrive grants you a personal, exclusive, worldwide, royalty-free, non-transferable and non-transferable, non-exclusive license for any software we provide to you for the sole purpose of is to enable you to use the Services in the manner permitted by these Terms of Service. You may not (nor permit anyone else) to copy, modify, create derivative works from, reverse engineer, decompile or otherwise attempt to extract the source code of the Software or any portion thereof. You may not assign or grant a sublicense to your rights to use the software, or grant you a security interest in your rights to use the software or rights to use the software, or otherwise transfer any part of your right to use the software.

Third-party Charges

You (not AllDrive) are solely responsible for any charges incurred when accessing the Services via the Internet or Mobile Access Provider or other third parties, including but not limited to charges incurred for sending or receiving SMS messages.

When the company provides services, certain fees may be charged to users of related services. In this case, the company will make clear prompts or guidelines on the relevant pages. If the user needs to pay for the service used, the user has the right to decide whether to use and accept the paid service. If the user refuses to pay such fees, the related services cannot be used.

No Resale of Services

You agree to use the Services only for personal purposes and not for any unintended purpose. You agree not to copy, reproduce, copy, sell, trade, resell, construct or use any part of the Services website for any commercial purpose.

Announcement

The service may display announcements. In consideration of AllDrive granting you the right to access and use the Services, you agree that AllDrive may post such notices on the Services.

Compensation

You agree to indemnify AllDrive and its affiliates, members, officers, agents, employees, partners and licensors and hold them harmless from any claims or demands by any third party arising out of the content you submit, post or transmit, Including reasonable attorney fees, travel expenses, etc., service provision, your use of the service, connection to the service, violation of the terms of service or violation of the rights of others.

Service Modification

We reserve the right to change or discontinue the Service (or any part thereof), temporarily or permanently, without notice. You agree that AllDrive shall not be liable to you or any third party for any modification, suspension or termination of the Service. You further agree that we may limit the number of emails sent through the Service at any time in our sole discretion.

Termination

You agree that AllDrive may terminate your application's access to the Service at any time without notice for the following reasons, including but not limited to:
(A) breach or violate these Terms of Service or other incorporated agreements or guidelines;
(B) at the request of law enforcement agencies or other government agencies;
(C) you request to deactivate the application;
(D) termination or material modification of the Services;
(E) unexpected technical or safety issues;
(F) not used for 3 years;
(G) you engage in fraudulent or illegal activities;
(H) not pay you any service-related fees. Furthermore, you agree that AllDrive is not responsible for any deactivation of your application by you or any third party.

Disclaimer

You expressly understand and agree that:
(A) YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. The service is provided on an "as-is" and "as available" basis. AllDrive and its affiliates, members, officers, employees, agents, partners and licensors expressly disclaim all warranties, express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
(B) AllDrive and its affiliates, members, managers, employees, agents, partners and licensors do not warrant that the Service will meet your requirements; or that the Service will be uninterrupted, timely, secure, error-free or No viruses or other harmful ingredients.
(C) Any material downloaded or otherwise obtained through the use of the Service is at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data resulting from the download of any such material.
(D) In no event shall AllDrive be liable for any Content, including, without limitation, any errors or omissions in any Content, or posted, emailed, transmitted or otherwise made available through the Service as a result of use loss or damage of any kind caused by any content. You agree that you must evaluate and assume all risks associated with the use of any content, including any reliance on the accuracy, completeness or usefulness of such content.
(F) Any opinions, statements, suggestions or other information provided or expressed by third parties or users belong to the respective third parties or users and not AllDrive. While we actively seek community participation in the content of our website in various ways, we do not endorse and are not responsible for the reliability or accuracy of any advice, opinion or representation regarding the Service.

Limitation of Liability

You expressly understand and agree that AllDrive and its affiliates, members, managers, employees, agents, partners and licensors shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to causing damages due to loss of profits, goodwill, use, data or other intangible losses (even if AllDrive has been advised of the possibility of such damages) due to:
(A) use or inability to use the Services;
(B) the purchase cost of substitute goods and services arising from any purchase or acquisition of goods, data, information or services, information obtained through the Services, or transactions entered into through the Services;
(C) unauthorized access or modification of your transmissions or data;
(D) the statements or actions of any third party regarding the Service;
(F) Other Service-Related Matters. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. Therefore, some of the above limitations may not apply to you.

Notice

We may send you notices, including notices about changes to the terms of service, and all notices may be sent to you through any contact information you retain (including but not limited to email, regular mail, mobile text messages) or announcements on this website, etc. reasonable methods known or developed.

Notice and Procedure for Making Claims of Copyright or Intellectual Property Infringement

Applicable Law and Dispute Resolution

The validity, interpretation, modification, performance and dispute resolution of this Agreement shall be governed by the laws and regulations of the People's Republic of China (for the purposes of this Agreement, excluding Hong Kong, Macao and Taiwan regions). Disputes arising from the signing, performance or interpretation of this agreement shall be resolved through equal, friendly and reasonable negotiation between you and the company; if the negotiation fails, either party shall file a lawsuit with the people's court where the company is located.

General

If any provision of these Terms of Service should be held by a court of competent jurisdiction to be illegal or unenforceable, that provision shall be modified to the extent necessary to make it enforceable without loss of its intent, or If such modifications are not possible, they shall be deleted from these Terms of Service without affecting the validity of the other provisions of this Agreement. The governing language of the Terms of Service is English. In no event shall any waiver by either party of any term or condition of these TOS or any breach thereof shall be a waiver of the term or condition or any subsequent breach thereof. You may not assign or otherwise transfer these Terms of Service or any rights or obligations under this Agreement by operation of law or otherwise. Any such alleged assignment or assignment is void.

Except as provided above, these Terms of Service are binding on the parties, their successors and assigns, and shall protect the interests of both parties. These Terms of Service, User Privacy Policy and possible supplemental agreements constitute the entire agreement between the parties on this subject and are legally binding on the parties.

Privacy Policy

We will retain your information for a short period if your account is active and if you choose to reactivate your account. You can delete your account if you want to cancel your account or request that we no longer use your information to serve you. We may retain and use your information to comply with our legal obligations, resolve disputes and enforce our agreements. We will attempt to delete your information upon request if these requirements are met. Please note, however, that there may be a delay in deleting information from our servers, and backup versions may exist after deletion.
